MEMORANDUM OF ASSOCIATION OF
AGATHOSUNE ASSOCIATION

1. The name of the company is “AGATHOSUNE ASSOCIATION.”
2. The Registered office of the company will be situated in the State of DELHI.
3. The main objects to be pursued by the company on its incorporation are:
 3.1 To make disciples of the Lord Jesus Christ following the Scripture – The Holy Bible:
  3.1.1 Through the teaching of the Holy Bible in its contextualized implication and application appreciating and in acceptance of the local culture of the land.
  3.1.2 Without any prejudice or discrimination against all citizens irrespective of religion, caste, creed, race, language, community or gender.
  3.1.3 Through the propagation of the Christian faith as found in the Holy Bible, without any attempt for religious conversion through inducement or force, either directly or indirectly, from one religion to another.
  3.1.4 For fostering social and cultural harmony throughout the flora of ethnicities in India.
  3.1.5 To bring upliftment and transformation in the society primarily by the people, of the people and for the people of India.
 3.2 To provide theological, biblical and intercultural studies through:
  3.2.1 Vidyapeeth and Schools for those interested to learn the biblical worldview and the Christian faith.
  3.2.2 Online and onsite learning centres for theological, intercultural and biblical studies.
 3.3 Organise and have congregational meetings, online and onsite in the following capacities:
  3.3.1 As a church for bhakti and Satsang per the teachings of the Holy Bible in a lawfully permitted manner in appreciation to the acceptable local culture.
  3.3.2 As a resource organisation, facilitating, managing, and initiating conferences and events partnering with and for like-minded organisations, whose interests align with the propagation of the gospel of the Lord Jesus Christ according to the teachings of the Scripture – The Holy Bible, as permitted by the Constitution of India.
4. The objects incidental or ancillary to the attainment of the above main objects are to:
 4.1 To administer the sacraments of the Church.
 4.2 To render duties of the Church including but not limited to teaching, prayers, evangelism, baptism, weddings and funerals.
 4.3 To ordain ministers and clergy of the church for ecclesial duties.
 4.4 Nothing in clauses (4.1), (4.2) and (4.3) shall compel the company in good faith of prudence execution of its objective. The company reserves the right to refuse to anyone any of the sacraments and duties listed in clauses (4.1), (4.2) and (4.3) at its discretion, that is not in line with the Christian faith and tradition, subject to the accepted teachings of the Holy Bible. The company will only solemnize the wedding that has been registered by the Registrar of Marriage as per the provision by the state governments, and not vice-versa.
 4.5 To audit and offer editing of any music, worship songs, lyrics and teachings within the Christian worldview to ensure they are theologically correct and in line with the national interest, social harmony and contextual appropriateness through the establishment of theological commissions.
 4.6 To offer a critique of any music, worship songs, lyrics and teachings within the Christian worldview that is not in line with the national interest, social harmony and contextual appropriateness through the establishment of theological commissions.
 4.7 To propagate and practice the teachings of the Holy Bible with sound doctrine.
 4.8 To plan and execute training of trainers, pastors, and church leadership for theological and biblical education sector skill development.
 4.9 To promote academies of excellence in theological, intercultural and biblical education.
 4.10 To facilitate standardising the affiliation and accreditation process for theological and biblical education.
 4.11 To facilitate setting up a robust and stringent certification and accreditation process for the theological and biblical education sector to ensure consistency and acceptability of standards.
 4.12 To participate in the affiliation, accreditation, examination and certification of theological and biblical education.
 4.13 To become a member of any association of any of the councils as may be required for skill development in theological and biblical education as and when formed.
 4.14 To facilitate and assist the appropriate governmental authority in strengthening the existing vocational education system for skill development in the theological and biblical education sphere, and to collaborate in upgrading the vocational training system in the sector, in line with requirements to achieve global standards in productivity.
 4.15 To enter into any arrangements with any government(s) or authorities whether central, state, municipal, local or any other person, that may seem conducive to the objects of the society.
 4.16 To serve churches, institutions and individuals through strategic initiatives, capacity building and shaping solidarity, thus facilitating the task of witnessing the good news of the Lord Jesus Christ in word and deed, along with and for nation building.
 4.17 To actively pray for the nation of India and the government.
 4.18 To partner with and assist like-minded organisations.
 4.19 Spread the love and compassion of the Lord Christ through education, providing accessible, affordable and contemporary education for the poor and disadvantaged.
 4.20 To offer medical assistance to the needy, conduct blood donation camps, and provide basic needs of food, shelter, garments, and healthcare services in partnership with like-minded organisations including but not limited to hospitals, dispensaries, and medical and welfare facilities.
 4.21 To engage in interfaith dialogue.
 4.22 To engage in intercultural dialogue for cultural and social harmony.
 4.23 To foster ethnic, cultural and diversity and appreciation of the same all parts of the country.
 4.24 To offer educational welfare.
 4.25 To conduct surveys, to promote socio-economic development and ethnic harmony.
 4.26 To promote generosity and donation.
 4.27 Conduct cleanliness drives.
 4.28 To promote National Integration, Communal Harmony, Universal Brotherhood and Peace.
 4.29 To promote and advocate human rights and fundamental freedom for all without any discrimination of race, religion, caste, colour, sex or language.
 4.30 To organise talks, seminars, screening of documentaries, workshops, films, exhibitions, and conferences on various subjects in connection with the development of the objectives of the Company.
 4.31 To accomplish the objectives of the company, carry on the activities of transmission and broadcasting, telecasting, programming, audio-visual, production and marketing of audio-visual electronic media information and technology and mass communication.
 4.32 To publish literature in print and electronic media format.
 4.33 To have internet websites, offering web-based facilities enhancing the objectives of the company.
 4.34 To fix and demand fees and other charges for products sold and services rendered by the company.
 4.35 To register trademarks, service marks and other have other registrations as required for the effective functioning of the company.
 4.36 To act as a consultant, counsellor, facilitator and/or provider of information, in respect of any institution or organisation or individual on theological and biblical education, local self-governance, strategic communication including culture media and issues related to the intercultural paradigm or those concerned with the objectives of the company.
 4.37 To ensure that all sections of the public within the geographical limits of India without any distinction of religion, caste, creed, race, language, community or gender benefit from this Company.
 4.38 This charitable organisation is for religious and community, and socio-economic development, to establish, set up, maintain, erect, purchase, construct, renovate, manage, and undertake the management of any existing or/ and new churches/ halls and other religious places and centres per the purposes of the organisation.
 4.39 To appoint agents, sub-agents, depot-holders, factors, representatives, distributors, attorneys and correspondents for the business or purpose of the company or to carry out any of its objects.
 4.40 To exercise all or any of its corporate powers, rights and privileges and to conduct its business to accomplish its objectives, in all or any of its branches in the union of India and any or all states, territories, possessions, colonies and dependencies thereof and in any for all foreign countries and for this purpose to have and maintain and to discontinue such number of offices and agencies therein as may be convenient.
 4.41 The Company’s property including its fund and income shall be applied solely towards the promotion of the objects for which Section 8 is established, and no portion of it will be utilised for payment to the Directors/ Members/ Office bearers by way of profit/ dividend/ interest etc.
 4.42 To undertake initiative and offer social welfare development activities and to carry out the aforesaid activities for charitable purposes and not for profit for all citizens irrespective of caste, religion and sex and apply profits, if any or other income in promoting the objectives of the company.
 4.43 Make donations, grant endowments and/ or otherwise assist in any form whatsoever to any person(s), organisations, public charitable institutions, companies, societies, trusts, foundations, academic and/ or cultural institutions who have the object(s) similar to any one or more of the objects of the company to promote, assist and/ or encouraging the carrying and/ or achievement of such objects or object for the benefit of the people in general.
 4.44 Accept donations, assistance and/ or funds on behalf of the implementing agencies from the government, foreign donors, and/ or any other donor agency subject to such laws as may be applicable in the manner stated above and to obtain necessary accounts and information regarding the physical and financial progress from the implementing agency/ agencies.
5. The doing of all such other lawful things as considered necessary for the furtherance of the above objects provided that:
 5.1 The company shall not indulge in activities aimed at religious conversion through inducement or force, either directly or indirectly, from one religion to another.
 5.2 The company shall neither support nor partake in any activity or attempt towards communal tension or disharmony in any specified district or any part of the country.
 5.3 The company shall not support with its funds, or endeavour to impose on, or procure to be observed by its members or others, any regulation or restriction which, as an object of the company that would make it a trade union.
 5.4 No objects of the company shall be carried out without the permission of competent authorities whatsoever and no objects of the company shall be carried out on a commercial basis.
 5.5 All the activities of the company shall be carried out as charity.
6. The objects of the company extend to the whole of India.
7. The following subpoints apply for profits and remuneration:
 7.1 The profits, if any, or other income and property of the company, whensoever derived, shall be applied, solely for the promotion of its objects as set forth in this memorandum, and no dividend is paid to its members.
 7.2 No portion of the profits, other income or property aforesaid shall be paid or transferred, directly or indirectly, by way of dividend, bonus or otherwise by way of profit, to persons who, at any time are, or have been, members of the company or to any one or more of them or any persons claiming through any one or more of them.
 7.3 No benefit in money or money’s worth shall be given by the company to any of its members, whether officers or members of the company or not, except payment of out-of-pocket expenses, reasonable and proper interest on money lent or reasonable and proper rent on premises let to the company.
 7.4 Nothing in this clause shall prevent the payment by the company in good faith of prudent remuneration to any of its officers or servants (not being members) or to any other person (not being a member), in return for any services rendered to the company.
 7.5 Nothing in clauses (7.3) and (7.4) shall prevent the payment by the company in good faith of prudence remuneration to any of its members in return for any services rendered to the company.
8. No alteration shall be made to this memorandum of association or to the articles of association of the company which are for the time being in force unless the alteration has been previously submitted to and approved by the Registrar of Companies New Delhi.
9. The Company formed is Irrevocable.
10. The liability of the members is limited.
11. Each member, undertakes to contribute to the assets of the company in the event of its being wound up while he is a member or within one year afterwards, for payment of the debts or liabilities of the company contracted before he ceases to be a member and of the costs, charges and expenses of winding up, and for adjustment of the rights of the contributors among themselves such amount as may be required not exceeding a sum of Rs.10,000/- (Rupees Ten Thousand Only).
12. True accounts shall be kept of all sums of money received and expended by the company and the matters in respect of which such receipts and expenditure take place, and of the property, credits and liabilities of the company; and, subject to any reasonable restrictions as to the time and manner of inspecting the same that may be imposed per the regulations of the company for the time being in force, the accounts shall be open to the inspection of the members. Once at least every year, the accounts of the company shall be examined and the correctness of the balance sheet and the income and expenditure account ascertained by one or more properly qualified auditor or auditors.
13. If upon a winding up or dissolution of the company, there remains, after the satisfaction of all the debts and liabilities, any property whatsoever, the same shall not be distributed amongst the members of the company but shall be given or transferred to such other company having objects similar to the objects of this company, subject to such conditions as the Tribunal may impose, or may be sold and proceeds thereof credited to the Rehabilitation and Insolvency Fund formed under Section 269 of the Act.
14. The Company can be amalgamated only with another company registered under section 8 of the Act and having similar objects.
